Terms of Service

SunForceAI LLC ("SunForceAI," "we," "us") provides dedicated GPU rentals and related services. By ordering, accessing, or using our services, you ("Customer," "you") agree to these Terms of Service (the "Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

1. Service acceptance

Services begin only after SunForceAI accepts your requested capacity and confirms workload fit in writing (email is sufficient). Nothing on our website, in a quote, or in an inquiry response creates a binding commitment until we confirm acceptance in writing and payment (where applicable) has been received.

2. Compatibility Trial

The Compatibility Trial is a scoping engagement of up to four (4) hours for a prepaid fee of $99 USD. The full $99 is credited toward your first weekly or monthly private rental that begins within thirty (30) days after the completed trial. The credit has no cash value, is nontransferable, and applies once. Cancellation, rescheduling, and refund handling for the trial are described in our Cancellation and Refund Policy, which is incorporated into these Terms.

3. Fees, taxes, and renewal

Fees are prepaid unless a signed order or written quote provides otherwise. Prices are in U.S. dollars. Applicable taxes, duties, and similar government charges may be added where required by law. Rentals do not automatically renew; a new term begins only when both parties clearly accept it in writing.

4. Customer responsibilities

You are responsible for:

• Safeguarding your account credentials, keys, and access tokens.
• The lawfulness of your content, data, and use of the service.
• Obtaining and complying with all licenses for software, models, weights, and datasets you deploy.
• Maintaining your own backups of your content and configurations.

You may not process regulated or highly sensitive data (for example, protected health information, payment card data, government-classified information, or biometric identifiers) on the service unless SunForceAI has accepted that use in writing.

5. Backups and service levels

Backups and formal service level commitments are not included unless expressly set out in a signed order. Absent such an order, the service is provided on a commercially reasonable best-effort basis without a specific uptime guarantee.

6. Acceptable Use

Your use of the service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in suspension or termination as described below.

7. Suspension

SunForceAI may suspend or restrict your access, with or without prior notice, if we reasonably determine it is necessary to address a security or abuse issue, respond to nonpayment, comply with law, or protect the service, its users, or third parties.

8. Third-party software and services

Operating systems, drivers, model weights, container images, and other third-party software or services you use on or through the service remain governed by their own licenses and terms. SunForceAI is not a party to those agreements and does not grant rights beyond what those third parties provide.

9. Disclaimers

Except as expressly stated in a signed order, the service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, SunForceAI disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the service will be uninterrupted, error-free, or that it will meet your specific requirements.

10. Limitation of liability

To the maximum extent permitted by law, SunForceAI's aggregate liability arising out of or relating to the service and these Terms will not exceed the amounts you paid to SunForceAI for the affected service during the three (3) months immediately preceding the event giving rise to the claim. Neither party will be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility.

11. Indemnification

You will defend, indemnify, and hold harmless SunForceAI and its personnel from and against any third-party claims, losses, and expenses (including reasonable attorneys' fees) arising out of your unlawful content, unlawful use of the service, or breach of these Terms or the Acceptable Use Policy.

12. Termination

Either party may terminate a rental in accordance with the applicable order and our Cancellation and Refund Policy. SunForceAI may terminate immediately for material breach, unlawful use, unpaid fees, or serious security or legal risk. Upon termination, access will be revoked and Customer data on the rented environment will be securely deleted after any grace period described in the Privacy Notice, subject to legal, backup, and security constraints.

13. Governing law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws principles. The state and federal courts located in New York will have exclusive jurisdiction over disputes arising out of or relating to these Terms, and each party consents to that jurisdiction and venue.

14. Severability

If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed, and the remaining provisions will remain in full force and effect.

15. Entire agreement and order of precedence

These Terms, together with the Acceptable Use Policy, Privacy Notice, Cancellation and Refund Policy, and any signed order or written quote we accept, constitute the entire agreement between the parties regarding the service and supersede prior discussions. In case of conflict, a signed order controls over these Terms, and these Terms control over any other document.
